中華人民共和國公司登記管理條例 登記管轄
（1994年6月24日中華人民共和國國務院令第156號發布，根據2005年12月18日《國務院關于修改〈中華人民共和國公司登記管理條例〉的決定》修訂）
第二章 登記管轄
第六條 國家工商行政管理總局負責下列公司的登記：
（一）國務院國有資產監督管理機構履行出資人職責的公司以及該公司投資設立并持有50%以上股份的公司；
（二）外商投資的公司；
（三）依照法律、行政法規或者國務院決定的規定，應當由國家工商行政管理總局登記的公司；
（四）國家工商行政管理總局規定應當由其登記的其他公司。
第七條 省、自治區、直轄市工商行政管理局負責本轄區內下列公司的登記：
（一）省、自治區、直轄市人民政府國有資產監督管理機構履行出資人職責的公司以及該公司投資設立并持有50%以上股份的公司；
（二）省、自治區、直轄市工商行政管理局規定由其登記的自然人投資設立的公司；
（三）依照法律、行政法規或者國務院決定的規定，應當由省、自治區、直轄市工商行政管理局登記的公司；
（四）國家工商行政管理總局授權登記的其他公司。
第八條 設區的市（地區）工商行政管理局、縣工商行政管理局，以及直轄市的工商行政管理分局、設區的市工商行政管理局的區分局，負責本轄區內下列公司的登記：
（一）本條例第六條和第七條所列公司以外的其他公司；
（二）國家工商行政管理總局和省、自治區、直轄市工商行政管理局授權登記的公司。
前款規定的具體登記管轄由省、自治區、直轄市工商行政管理局規定。但是，其中的股份有限公司由設區的市（地區）工商行政管理局負責登記。
